Limited License To Use Web Sticker:

1. Your Acceptance

A. By downloading the web sticker on the following page (“Web Sticker”), you signify your agreement to these terms and conditions (the "Terms of Use”).

B. You agree you will use the Web Sticker only in accordance with the Terms of Use.

C. You warrant and represent that you are either an ASAE member registered to attend ASAE & The Center’s 2010 Annual Meeting, or an exhibitor or speaker at ASAE & The Center’s 2010 Annual Meeting (“Permitted User”).

D. You agree not to modify the Web Sticker in any way other than to proportionally shrink or enlarge the Web Sticker to fit in the desired media.

2. Limited License

As a Permitted User, ASAE grants you a limited, non-exclusive, world-wide license to use the Web Sticker in any media, including but limited to your web site, your employer’s website, your social media sites, or printed materials, until 11:59 PM on August 31, 2010. Thereafter, you agree to cease all uses of the Web Sticker.

3. Warranty Disclaimer

ASAE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE USE OF THE WEB STICKER AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM THE USE OF THE WEB STICKER.

4. Limitation of Liability

IN NO EVENT SHALL ASAE, THE CENTER FOR ASSOCIATION LEADERSHIP, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM THE USE OF THE WEB STICKER, AND/OR (II) ANY ERRORS OR OMISSIONS IN OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE WEB STICKER, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

5. Indemnity

You agree to defend, indemnify and hold harmless ASAE & The Center, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (ii) any claim that the use of the Web Sticker caused damage to a third party. This defense and indemnification obligation will survive these Terms of Use.

6. Assignment

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by ASAE without restriction.
